Securitize Capital, the investment advisory unit of tokenized-asset platform Securitize, said Monday it has registered with the U.S. Securities and Exchange Commission (SEC) as an investment adviser.
The company said the registration is aimed at expanding its regulated advisory services for institutional clients and adding investment-advisory functions to its existing market infrastructure business. Securitize Capital previously operated as an exempt reporting adviser, a status that typically carries lighter oversight.
With full SEC registration, Securitize Capital will now fall under the Investment Advisers Act. That shift brings additional disclosure and compliance requirements, tighter recordkeeping expectations, and a higher standard for regulatory examinations.
Securitize said the change strengthens its ability to support on-chain capital markets through investment strategy development and management, giving institutions an option to access regulated advisory services alongside the firm's broader platform capabilities.
Securitize also pointed to its broader regulated footprint. The company said it already operates multiple SEC-regulated businesses, including a registered broker-dealer, an alternative trading system, a transfer agent, and fund administration services. Adding an investment adviser registration builds on that stack and may allow Securitize to offer more integrated workflows for institutions that prefer working within established SEC frameworks.
On scale, Securitize described itself as the largest tokenization platform by on-chain asset value, citing about $4.8 billion in tokenized assets across funds associated with major asset managers. The company named BlackRock, Apollo, KKR, VanEck, Hamilton Lane and others. The firm noted that the adviser registration, on its own, does not imply new products, fee structures, or changes in tokenized fund availability.
Securitize's parent company began trading on the New York Stock Exchange on July 2 under the ticker SECZ after completing a merger with Cantor Equity Partners II. Shares have declined about 46% from their first-day closing price, based on Yahoo Finance data cited at the time of the report.
Market focus now shifts to whether Securitize Capital's SEC adviser status translates into new or expanded institutional advisory offerings tied to on-chain investment strategies, and how regulators assess the firm's compliance posture as it transitions from exempt reporting adviser requirements to the registered adviser framework.
