Metaplanet Takes Control of Nasdaq-Listed SLE in $134.6 Million Bitcoin-and-Cash Deal
Metaplanet founder and CEO Simon Gerovich said shareholders of Super League Enterprise, Inc. (Nasdaq: SLE) have formally approved the transaction between the two companies, a decisive step in Metaplanet's shift from a Bitcoin treasury company to a global Bitcoin-native financial platform.
Metaplanet is contributing 2,100 Bitcoin and $25 million in cash, roughly $134.6 million in total, for a controlling stake in SLE. In return it receives about 44.86 million newly issued SLE common shares at $3 apiece, along with preferred shares and warrants. Once the deal closes, Metaplanet will hold approximately 95.7% of SLE's outstanding common shares and become its controlling shareholder.
SLE will serve as Metaplanet's U.S.-listed Bitcoin treasury platform, Gerovich said, giving the company direct access to U.S. capital markets and more agile, flexible financing capacity. Combined with Metaplanet Securities in Japan, the approval leaves the company with complementary platforms in the world's two largest capital markets, the United States and Japan. That structure supports international fundraising and capital allocation while advancing Metaplanet's expansion in Bitcoin treasury management, financial services, financial products and asset management.
Gerovich described the move as a new milestone on Metaplanet's long-term growth path and said the company will continue to update investors as the transaction moves toward closing.
